Jason Industries Inc. was formed in 1985 when Vince Martin and Mark Train purchased three companies from their employer, Canadian manufacturing conglomerate AMCA, and created Jason Industries Inc.  The company's initial acquisitions Janesville Products, Osborn Manufacturing, and Jackson Buff are all a part of the company's consolidated operations today, in addition to numerous newer acquisitions.

Essential Duties and Responsibilities

The VP & General Counsel will lead the global legal organization, including corporate securities, governance, M&A and global compliance for all of Jason Industries.  The position will be responsible for leading corporate strategic and tactical legal initiatives and will report to Chief Executive Officer.

  • Direct the management of global legal matters including M&A employment law, intellectual property, securities, and corporate governance, develop and negotiate complex long term contracts, litigation management which includes monitoring and directing outside counsel, establishing budgets, negotiating settlements, and preventative education to ensure global legal compliance to avoid litigation.
  • Provide timely and proactive counsel to Jason Executive Leadership team and Board of Directors and ensure compliance with the laws governing a publicly held company including SOX, Anti-trust, anti-corruption and competition laws based outside the US.
  • Lead the Company's global compliance program ensuring a world class compliance program is in place.
  • Function as the Company's chief non-financial risk manager and manage the Company's 'Enterprise and Risk Management Program.
  • Build the Legal Organization-develop and retain a high performance leadership team and collaborate with that team to develop and implement the systems, processes, and the workforce capable of achieving the objectives of the business.
  • Contribute to the strategic direction of the Company; develop long-term strategies and short term tactical plans within the Legal Department to achieve corporate objectives.

Candidate Profile

The preferred candidate profile for the VP of General Counsel will have a background with a strong blend of legal and leadership experience with a minimum of 12 years of with a blend of private law firm and in-house experience, ideally in a best in class global company.  The candidate must be an exceptional lawyer with proven track record of success, preferably in a publicly traded global organization.

The incumbent must be able to analyze situations for legal compliance, and business risk, implement creative solutions and provide options for solving legal and compliance issues; interact and communicate effectively across all levels of organization to ensure business practices, policies and dealings of the Company meet regulatory requirements.  The individual will have a JD degree from a leading law school and will be licensed to practice law in one or more states.
